The essential conditions for a foreign enterprise to apply for the establishment of a resident representative office in Shanghai are as follows:
一、該外國企業必須在所在國合法注冊；
二、該外國企業必須具有良好的商業信譽；
三、該外國企業必須提供真實可靠的本實施細則規定的各類材料；
(1) The foreign enterprise has to be legally registered in its country;
(2) The foreign enterprise must be of good commercial reputation;
(3) The foreign enterprise must provide the authentic and reliable materials and documents according by this notification.
二、在上海設立常駐代表機構所需時間和要求：
The time and requirements for a foreign enterprise applying for the establishment of a resident representative office in Shanghai are as follows:
一、外國企業申請在中華人民共和國境內設立常駐代表機構，須先向上海市工商局提出網上申請，工商局對其申請進行審查，在5個工作日內做出批準或不予批準的決定，并在網上公布結果。得到批準的企業，再向工商局提出書面申請，工商局于10個工作日后頒發代表機構登記證。其他政府機構辦理各種證照約需要25個工作日。
When an enterprise wants to establish a representative office in Shanghai, it should apply to Shanghai Administration of Industry and Commerce on its website for prejudication first. It will approve or overrule the application in 5 working days. The approved enterprise should apply to the Administration formally. 10 working days later, the Administration will give Business Registry to the company. And processing other registries by other administrations will spend about 25 working days.
二、外國企業申請設立常駐代表機構必須委托一家經中華人民共和國政府主管部門批準的、具有相關資質的公司作為承辦單位，由承辦單位代外國企業向審批機關報送各類材料，辦理申報手續。
If a foreign enterprise wants to apply for a representative office in China, it has to entrust an agency which is approved by the competent authorities of government for submitting all documents to government.
三、在上海設立常駐代表機構所需材料
The documents for establishing a representative office in Shanghai:
(一) 申請書 (由公司董事長或總經理簽名)
Application Letter (signed by chairman of the foreign enterprise)
申請書內容如下:

1)常駐代表機構的名稱/ the name of representative office;
2)首席代表機構人員名單（首席代表、代表）/ list of chief representative and representatives;
3)企業簡況,設立常駐代表機構的目的.業務范圍/ brief introduction of the foreign enterprise, purpose of establishing this representative office, business scope of this representative office,
4)辦公地址/ office address
5)駐在期限/ residence period
(二) 代表任命書 (由公司董事長或執行董事簽名)
Application of chief representative and representatives (signed by chairman of the foreign enterprise);
如董事長任首席代表或代表，其授權書必須由該企業董事會兩名以上董事簽署
If chairman is also the representative of the office, the application has to be signed by more than two directors
(三) 代表的簡歷
Resumes of representatives；
(四) 代表護照或身份證復印件
The passport or ID card (copy) of the chief representative and representatives;
(五) 由該企業所在國的有關當局出具的開業合法證書（副本）注明有效期
Business license copy;
(六) 將此證書在當地的中國大使館/領事館公證。
Notarizing this certification at the China Embassy /Consulate in local;
(七) 由同該企業有往來的銀行出具的資信證明書（正本）注明信用評價及有效期
Credit certification (original) issued by a foreign bank which has business relations with the enterprise;
(八) 辦公樓租賃合同（原件）
Contract for lease of house (original);
(九) 房屋出租方提供的材料
Documents provided by lessor
